The American Express Company was founded 6 years prior to this agreement by Henry Wells and William Fargo when they consolidated their respective companies to create a joint stock association of the largest private mail company. In 1852, seizing opportunities created by the Gold Rush, the two formed Wells Fargo as a subsidiary. This agreement establishes a contract between American Express and the New York Central Railroad, allowing the former use of the latter's railroad for the shipment of both mail and property while indemnifying the railroad.<
